General

The name of the non-profit organisation is Altimo Foundation (hereinafter referred to as the Foundation).
 
The duration of the Foundation is perpetual.
 
The address of the principal office of the Foundation shall be 41 Lothbury, London, EC2R 7HF, UK
 
The Foundation is a non-profit organisation.
 
The Foundation is a public-benefit organisation.
 
 

Mission

Altimo, an international $30 billion telecoms investment group, is establishing the Altimo Foundation as an independent nonprofit organization to act globally on its own behalf in the fields of science, technology, education, and culture. The mission of the foundation is to promote interaction and communication of values and cultures between the West and the East with a commitment to supporting social cohesion and business expertise within developing economies.

 

The Foundation’s purpose

Altimo’s corporate strategy is two-fold: to develop new investment projects in the emerging telecoms markets of Central Europe, Asia and the Far East, while seeking strategic cooperation with the best-performing European telecoms operators.

The purpose of the Foundation is to support Altimo’s corporate strategy by promoting the exchange of cultural and business values between East and West.

The purposes for which the Foundation is organized are exclusively charitable, scientific, literary and educational.

The Foundation shall not be operated for the primary purpose of carrying on a trade or business for profit.

The Foundation will lead social sponsorship and research projects in the fields of:

  • culture,
  • science,
  • education,
  • sport,
  • healthcare; and
  • business;

in the markets where Altimo operates or plans to establish its presence.

The key target markets for the Foundation’s activities will include Russia, Ukraine, Turkey, Vietnam, Indonesia, India, Cambodia, and the EU countries. The list of these will be revised at the discretion of the Foundation’s management.

 

Registration

It is Altimo’s intention to register the Foundation formally in a European jurisdiction within the first year of its operations. The headquarters from which the Foundation will be operating is London.

In its initial phase, the Altimo Foundation will not be registered in any specific jurisdiction, and will not have, nor seek to have, formal statutory charitable or trust status.

Funding

Altimo will provide funding of approximately $5 million per year, equivalent to disbursements from a capital fund of $50m+ over the same period.

This policy may be subject to change from time to time with the agreement of the Executive and Council members of the Foundation.

A proportion of the Foundation’s funds will be reserved for ad-hoc purposes including “grants in aid” to provide funding for projects such as emergency relief efforts in the event of natural disasters or smaller project funding in the form of “Chairman’s grants” as determined from time to time by the chairman of the Foundation’s Board.

Altimo has kindly agreed to absorb all administrative costs of the Foundation including, inter alia, legal and accountancy expenses, the costs of the Executive and Independent Trustees of the Foundation.

 

Management

The Council of the Foundation, whose responsibilities are to define granting making policies, identify grant making opportunities and represent the Foundation in a public forum, will be led by the Chairman of the Foundation.

The Chairman is envisaged to be an individual of international recognition in scientific, education or business domains. The Chairman acts as the official spokesperson for the Foundation and acts on its behalf internationally as its ambassador.

The role of the Chairman is envisaged as follows:

  • Chair the Altimo Foundation Council and represent the Altimo Foundation globally as its Ambassador and spokesperson
     
  • Advise the executives of Altimo and the Altimo Foundation on international corporate responsibility strategies and relationship development
     
  • Facilitate introductions at the appropriate level in the international business and social and cultural organisations
     
  • Advise on profile and contact development generally
     
  • Support the Altimo and the Altimo Foundation brands as required, including attendance at related social and networking events

The Council members of the Foundation will be appointed by Altimo and shall comprise:

  • Two executive [Council members] appointed by Altimo who will be responsible for the administration of the Foundation
     
  • Up to four Independent Trustees, appointed by Altimo and approved by the Chairman of the Foundation.

The day-to-day operations of the Foundation will be undertaken by an operational management team led by the Foundation’s CEO, who is a top executive of Altimo. The CEO will appoint the management team of the Foundation.

The Council of the Foundation and the Foundation’s executive management team meet every two months by conference call and every six months in person in the Foundation’s headquarters in London or elsewhere upon mutual consent.

 

Selection of Projects and reporting

The Foundation will prepare a forward Project Schedule, compiled by the CEO of the Foundation and ratified by the Board of Trustees, no later than 01 November of each funding year, which will be revised every six months by the Board of Trustees.

The Project Schedule will include both the sponsorship projects and the research projects in which the Foundation will participate.

Grants in Aid and ad-hoc funding will be considered at each meeting of the Board of Trustees.

Donations by the Foundation will be monitored closely in order to ensure that the money has been invested appropriately. The Independent Trustees are expected to provide feedback on Foundation-supported projects that are within their own country.

Conditions of the Foundation making donations include interim and final reports on the projects that have been supported.

 

Third Party Selection

The Foundation may choose any third party for cooperation in the course of the Foundation’s Project Schedule activities. Such third parties will include research centres, universities, non-governmental organizations, other non-profit foundations and entities, business sub-contractors and individuals.

The selection of the third parties is made upon the decision of the CEO of the Foundation.

 

Public Policy

The Foundation will act transparently and will be open for any inquiries from the media community. Media relations will be managed by the press service of the Foundation. The official spokespeople for the Foundation will be the Chairman, the CEO and the press secretary of the Foundation.

The Foundation will communicate with the public through its media statements, press conferences, and the web site which will be accessible both independently at http://www.altimofoundation.org and from Altimo’s corporate web site http://www.altimo.org.

 

Media statements will be issued by the Foundation quarterly and on special occasions.
